WNCW Community Advisory Board
Article I - Name

The name will be the WNCW Community Advisory Board (CAB).

Article II – Purpose

The purpose of the Community Advisory Board is to ensure that WNCW is meeting the specialized educational and cultural needs of the communities served by the station as follows:

  • Provide advice to station management in shaping the programming goals to be established by WNCW
  • Provide advice regarding the significant policy decisions to be made by WNCW.
  • Provide advice to the station management with respect to the programming and other policies of WNCW and make such recommendations as it considers appropriate.
  • Assist in obtaining resources and financial support for WNCW, including identifying and approaching potential WNCW donors.
  • Article III- Membership

    The composition of the WNCW Community Advisory Board will reasonably reflect the diverse needs and interests of the communities it serves. The Community Advisory Board members serve in an advisory capacity to WNCW station management and have no governing powers. The Board members serve at the pleasure of the WNCW Station Manager.

    Article IV – Community Advisory Board Members

    A. Number and Tenure

    The Community Advisory Board will consist of up to twelve (12) members. Each member will serve a three-year term. The initial Board members will be appointed for two-year and three-year terms and can be re-appointed for one additional three-year term. All Board members subsequent to the initial Board will serve three-year terms and can be re-appointed for one additional term.

    B. Selection

    Nominations for the Community Advisory Board may come from any source and will be made to the CAB Nominating Committee. The Nominating Committee will recommend a slate of Board members to the Community Advisory Board. The Board will consider the nominations and endorse a slate for appointment by the Station Manager.

    C. Officers

    The officers of the Community Advisory Board will consist of a Chairperson and a Vice-chairperson. The Chairperson will coordinate the agenda of the CAB Meetings. The Vice-Chairperson will assume leadership and duties of the Chairperson whenever that person is not available. The officers will be elected from the Board members at the last meeting of the calendar year and will begin their terms on the first day of January of the following year. An officer will hold office until his or her successor has been duly elected. The Board may remove any officer whenever in their judgment the best interest of the Community Advisory Board would be served. A vacancy in any office may be filled by the Board members for the un-expired portion of the term.

    D. Filling Vacancies

    The Community Advisory Board may fill vacancies during the year to carry out a vacant term. The Board will recommend a person to fill the un-expired term to the Station Manager who will make the appointment.

    E. Dismissal of CAB Members

    Any CAB member who misses more than three (3) consecutive meetings or more than half the regular meetings in a calendar year shall lose his or her status as a member of the Board and shall be replaced or reappointed by the Board. Absence due to sickness or other emergencies of like nature shall be recognized as approved absences and shall not affect the member's status on the Board. The WNCW Station Manager reserves the right to dismiss any CAB member upon consultation with the Community Advisory Board at a regularly scheduled meeting.

    Article V – Meetings

    A. Open Meetings and Notice

    All meetings of the Community Advisory Board shall be open to the public. The Board may designate some meetings as Board/Staff Work Sessions which, while open to the public, may have limited time for public comment. Any person may attend the meeting and shall not be required to furnish any information as a condition of attendance. Reasonable notice of all meetings must be given to the public.

    B. Regular Meetings and Special Meetings

    The Community Advisory Board will meet quarterly or more often if necessary. The CAB chairperson or the Station Manager can call a meeting of the Community Advisory Board. The CAB and WNCW will set the time and place for the meetings. Special meetings of the CAB may be called by or at the request of the WNCW Station Manager, the Chairperson, or any two members of the CAB.

    C. Quorum

    At any meeting of the CAB, a quorum for the transaction of business will consist of a majority of the members then in office.

    D. Minutes of Meetings

    Minutes of the CAB meetings will be recorded by a member of the Board. A file of such minutes will be maintained at the offices of WNCW and open to the public.

    Article VI – Committees

    The Nominating Committee will be a standing committee of the Community Advisory Board. The Chairperson may appoint other permanent or ad hoc committees to carry out the work of the Board. All committees will report to the Board that will then make final recommendations to the WNCW Station Manager.

    Article VII – Amendments

    These by-laws may be altered, amended, or repealed and new by-laws may be adopted by a majority vote of the Board. The proposed amendment shall be sent to each Board member in writing at least ten days prior to the vote.
